Agreement to Terms
This document represents the full, unabridged Terms and Conditions governing your relationship with UmojaTech Inc., a company incorporated under the laws of the Republic of Panama, bearing Folio No. 155783364, operating globally under the brand name Umoja Coin and Umoja Pay.
By accessing, downloading, installing, or utilizing any of the services, applications, software, tools, APIs, or wallet infrastructure provided by Umoja Pay, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions in their entirety. If you do not agree with these provisions or any part thereof, you must immediately cease all access and must not use the Services.
1. Important Notice
Umoja Pay acts strictly as a technology gateway and financial infrastructure facilitator. Our core platform enables low-latency routing of multi-currency balances across regulated partner institutions and local mobile money operators.
These terms constitute a binding legal agreement. We do not provide direct deposit-taking banking services. All local sovereign fiat holdings are held securely in trust with tier-1 partner banks and authorized custodial entities.
You warrant that your transactional habits within the network will comply with all regional, pan-African, and international anti-money laundering (AML) and counter-terrorist financing (CTF) directives.
2. Definitions
- Account: The virtual user dashboard, associated KYC credentials, ledger logs, and profile records created upon registration.
- Agent: Licensed regional third-party agents, cash merchants, or point-of-sale operators facilitating physical currency integrations.
- Applicable Law: All local, national, state, provincial, municipal, and international laws, regulations, and central bank circulars.
- Business Day: Any day other than a Saturday, Sunday, or officially declared public holiday in Panama, Kenya, Nigeria, or South Africa.
- Content: All intellectual collateral, codebases, screen layouts, design frameworks, documentation, texts, graphics, and interactive vectors.
- Fees: All platform charges, commissions, gas-conversion costs, margin spreads, and withdrawal service rates.
- KYC: Know Your Customer identity validation methodologies enforced by regional regulatory authorities.
- Merchant: A verified corporate entity accepting payments, billing nodes, or invoicing via Umoja Pay API rails.
- Privacy Policy: The binding framework detailing how UmojaTech Inc. collects, stores, decrypts, and transmits identity indicators.
- Prohibited Activity: Any illegal, unauthorized, abusive, gray-market, or high-risk transaction violating sovereign AML acts.
- Services: The aggregate of custodial wallet structures, ledger pathways, cross-border payment interfaces, and settlement applications.
- UMC Credits: Internal cryptographic low-latency digital tokens pegged to sovereign assets used to minimize transaction times.
- User Content: All custom descriptive payment details, metadata, attachments, transaction descriptions, and uploaded support documentation.
- Wallet: The cryptographic secure multi-party computation keys configured to track, reference, and sign transactional directions.
3. Eligibility
- Age Requirement: You must be at least 18 years of age or have attained the legal age of majority in your active jurisdiction.
- Legal Capacity: You possess full legal right, capacity, power, and authority to enter into these binding terms.
- Valid Verification: You must possess an unexpired, authentic national identity card, driving credential, or international passport.
- Sanction Free: You are not subject to any international financial sanctions lists, trade embargoes, or regional blacklist indicators.
- Geographic Status: You must reside in a country or territory officially included in the Umoja operational roadmap.
- True Information: All details provided during account creation and subsequent KYC stages must be accurate and truthful.
4. Nature of the Services
Umoja Pay offers an overlay transactional protocol enabling low-latency cross-border liquidity routing. By integrating diverse local payment methods (such as mobile money networks and card networks), we create unified pathways.
UMC Credits represent dynamic cryptographic ledger reference points, backed by equivalent fiat bank holdings. These are utilized solely as low-latency routing vehicles and do not constitute secondary investment assets or yields.
All cross-border remittances handled via our API networks comply strictly with central banking guidelines on foreign exchange operations and licensed third-party agency models.
5. Account Registration
To activate and maintain transactional status, users are obligated to adhere to the following account rules:
- Single Account Limit: You may only register and operate one active user profile unless granted custom corporate status.
- Sovereign Ownership: You represent that the linked telephone number and mobile wallet accounts belong solely to your legally verified identity.
- Continuous Updates: You agree to immediately update profile changes regarding geographic status or official identification documents.
Any attempt to submit false identity documents, secure duplicate accounts via proxy networks, or use synthetic names will trigger immediate termination of all platform privileges and may be reported to law enforcement.
6. Identity Verification and Compliance
We operate under strict central bank regulatory frameworks. Compliance requires clear, progressive validation tiers:
- Tier 1: Covers basic daily transactions, validated via active mobile phone network verification.
- Tier 2: Requires submission of clear photo uploads of valid national ID, residency proof, and facial biometric confirmation.
- Tier 3: Reserved for commercial enterprise operations, requiring business license registration proof and audited statements.
By utilizing Umoja Pay, you authorize us to perform direct, continuous background inquiries via regional credit registries, banking partners, and national biometric verification systems.
7. Account Security
- MFA Requirement: Multi-factor authentication (MFA) must remain fully enabled for all high-value transactions.
- Access Safeguards: You must not share verification PIN codes, passwords, or device access details with any third parties.
- Device Security: Accessing our systems from rooted, jailbroken, or compromised mobile operating devices is strictly prohibited.
8. Wallet and Custodial Services
Our multi-party computation (MPC) wallets store secure cryptographic key shards across cloud networks. This process safeguards your funds against device theft or network security challenges.
All customer funds are placed in segregated trust holdings distinct from UmojaTech Inc.’s general corporate capital. In the unlikely event of business wind-down, your capital remains fully protected.
9. Transactions
All transactional instructions submitted to our decentralized cross-border networks are executed in real-time and are completely irrevocable once signed.
We reserve the absolute right to delay, refuse, or reverse transactions on various grounds, including: suspected spoofing, regulatory holds, lack of valid liquidity backing, or anti-fraud network flags.
10. Cross-Border Transfers and FX
Cross-border currency conversion is calculated using real-time market spreads sourced from regional partners. FX quotes represent the best-effort bid-ask prices available.
All final quotes are displayed dynamically on confirmation screens, allowing you to review real-time conversion rates before finalizing transfers.
11. Cash-In and Cash-Out Services
Transactions relying on physical cash exchanges are facilitated by licensed local mobile money agents. We bear no liability for cash handling errors originating from these independent operators.
12. Fees, Pricing, and Taxes
Platform service fees consist of gas routing levies, direct commissions, and FX margin spreads. These are updated transparently on our online portals and dashboard systems.
13. Errors, Unauthorized Transactions, and Reversals
In case of suspicious charges or billing discrepancies, users must notify our regional support team within 48 hours to trigger technical audits and freeze queries.
14. User Representations and Warranties
You represent and warrant that your transacted funds do not originate from gray markets, unlawful smuggling, human trafficking, tax evasion, or grey-market cross-border trade.
15. Prohibited Activities
- Spoofing: Attempting to bypass device-level geo-restrictions using proxies or VPN networks.
- Automation: Deploying automated web scripts or loops to initiate high-frequency transaction cycles.
- Illicit Settlement: Facilitating grey-market currency speculation, offshore tax routing, or shadow arbitrage.
16. Suspensions, Freezes, Restrictions, and Holds
We maintain active anti-fraud surveillance. We reserve the right to freeze account profiles if we detect irregular transaction bursts or mismatching KYC details.
17. Account Closure and Termination
Either party may terminate active relationships at any time. Closed accounts will undergo audit assessments to clear any pending transaction settlements.
18. Dormancy and Unclaimed Property
Accounts left completely inactive for more than 18 months will be designated as dormant. Inactive trust balances may eventually transfer to sovereign legal bodies under local banking acts.
19. Intellectual Property
All technical codes, user interfaces, branding assets, patent-pending ledger pathways, and visual systems are the exclusive property of UmojaTech Inc.
20. License to Use the Services
We grant you a non-transferable, revocable license to access our platform solely for personal and commercial wallet settlement tracking.
21. User Content and Feedback
By uploading data to payment forms, you grant us a perpetual license to utilize your inputs for compliance reporting, dashboard display, and network analytics.
22. Third-Party Services and Integrations
We integrate third-party mobile money operators and regional banking software. We bear no liability for system crashes or downtime caused by these external networks.
23. Software, App Stores, and Device Rules
All software updates must be downloaded from verified portals (Google Play Store, Apple App Store) to maintain security integrity.
24. Beta Features and Experimental Services
Experimental routing loops and testing systems are provided ‘as is’ without service level agreements or warranty commitments.
25. Communications and Electronic Consent
By registering, you consent to receive electronic receipts, verification codes, system security warnings, and compliance disclosures via SMS, email, or WhatsApp.
26. Records and Statements
Digital statements can be generated via your user dashboard. These logs serve as primary evidence of transaction histories in audits.
27. Taxes
You are solely responsible for determining, recording, and reporting any capital gains or transactional taxes applicable to transactions in your locale.
28. No Financial, Investment, or Tax Advice
Nothing on our website, help desks, APIs, or customer support channels constitutes financial allocation or tax planning advice.
29. Risk Disclosure
Sovereign currency values fluctuate dynamically. Storing values on cross-border ledgers exposes users to currency and systemic liquidity risks.
30. Disclaimers
Umoja Pay services are provided ‘as is’ and ‘as available’ without express warranties of uptime, merchantability, or completeness.
31. Limitation of Liability
To the maximum extent permitted by applicable law, UmojaTech Inc. will not be held liable for any indirect, incidental, or special damages, including lost profits.
32. Indemnity
You agree to defend, indemnify, and hold harmless UmojaTech Inc. and its directors from any claims arising from your fraudulent transaction activities.
33. Force Majeure
We bear no liability for execution failures or service delays caused by force majeure events, including acts of God, sudden regulatory blockades, or internet disruptions.
34. Set-Off and Recovery Rights
We reserve the right to debit your active account balances to settle negative outstanding ledger balances or resolve platform exploit errors.
35. Compliance Disclosures and Reporting
We work in tandem with regional financial intelligence units. Mismatched transaction histories will be shared with the necessary security networks.
36. Privacy
Your transactional and biometric verification metadata is stored using state-of-the-art encryption algorithms. Access is strictly regulated.
37. Confidentiality
Any shared documentation, API structures, or security codes remains trade-secret material. Misuse of these files will terminate partner status.

We may assign or delegate these contractual obligations to sister technology corporations without notifying you.
44. Entire Agreement
These Terms, our Privacy Policy, and any specialized API sheets represent the complete system rules.
45. Severability
If any clause in this document is found invalid, the remaining terms will continue to hold full weight.
46. Waiver
Any delay or omission on our part to act on account breaches does not waive our legal collection options.
47. No Partnership or Agency
These terms do not establish partnerships, joint ventures, or formal franchise links.
48. Language and Interpretation
The English version of this document holds precedence over regional translations in French, Portuguese, or Swahili.
49. Survival
All clauses regarding intellectual properties, legal waivers, liabilities, and dispute rules remain intact if you delete your profile.

51. Additional Country and Product Terms
We maintain compliance with monetary commissions in both East and West Africa. Country-specific rule sheets override general terms where applicable.
52. Operational Acknowledgements
By executing transactional instructions, users explicitly acknowledge network latency risks, third-party wallet integration, and API constraints.
53. Consumer Protection Savings
We implement safety buffers and limits on individual accounts to protect consumers from malicious phishing and unverified cross-border transactions.
54. Acceptance
By checking the registration boxes, completing standard identity validations, and deploying transaction funds, you signify your complete agreement to these Terms.
